How to raise funding for a D2C startup

Prepare a D2C funding case around contribution, inventory and milestones. Build the cash ask, choose a funding route and organise evidence for investors.

To raise funding for a D2C startup, define the business milestone first, calculate the cash required to reach it, and prepare evidence that the growth can produce contribution. Then approach financing sources that fit the stage and the use of money. A revenue target alone is too thin a funding case.

For a brand already selling, begin with retained orders, product economics and stock commitments. Separate observed results from the next-stage forecast. Explain what happens if new customers cost more or sales arrive later than planned. Investors need to understand both the growth opportunity and the amount of uncertainty they would be funding.

Decide what the money must prove

Write one concrete milestone before preparing the pitch. It might be validating repeat demand for an existing product, testing an additional acquisition channel, or building enough stock to serve a demonstrated order pattern. State how you will know whether it worked.

Use a milestone that changes a decision. A bigger catalogue is an activity. Demonstrating that selected new products can produce positive contribution after fulfilment and acquisition is an economic test. The distinction keeps the spending plan accountable.

Record the starting position beside the target. Include the current order base, observed contribution, stock available and the capacity of the team. If the milestone requires capabilities that do not exist, budget their cost and the time to build them.

Avoid writing the round size first and filling a use-of-funds chart afterwards. That tends to produce attractive percentages without dated commitments. A supplier deposit and a new hire each need a cash amount and a start date, not only a slice of a chart.

Choose a funding route that matches the use

Startup India's funding guide distinguishes equity, debt and grants and explains that funding sources should fit the business stage. Use that distinction to choose the capital that fits your milestone.

RouteQuestion to resolve firstEvidence to prepare
Internal cashCan the milestone be funded without missing obligations?Cash schedule and committed payments
EquityDoes the expansion case justify sharing ownership?Demand evidence and a milestone plan
DebtCan repayments be serviced under a downside case?Cash flows and the actual lending terms
Grant or incubator supportDoes the current programme fit the project?Eligibility and proposed use of support

Debt has a repayment obligation that must be modelled against your actual terms. Equity introduces ownership and governance considerations. Programme support comes with its own eligibility, permitted uses and process. Do not treat these routes as interchangeable cash on a spreadsheet.

Check current official programme pages before including support in the base case. An application is not an approved receipt. Keep uncommitted financing separate from bank cash and contracted facilities.

Calculate the cash ask from dated payments

Build the cash plan across the period needed to reach the milestone. Use the timing of customer collections and supplier payments. Accounting profit does not tell you the peak cash requirement when inventory must be paid for in advance.

Worked example with assumed inputs: a six-month cash plan.

Use or sourceAmount
Inventory and supplier deposits₹18 lakh
Acquisition tests and creative₹12 lakh
Incremental operating payments₹9 lakh
Explicit contingency reserve₹6 lakh
Total planned uses₹45 lakh
Unrestricted opening cash availableMinus ₹10 lakh
Net operating cash contribution during planMinus ₹8 lakh
Additional funding requirement₹27 lakh

Here, ₹45 lakh less ₹10 lakh less ₹8 lakh gives a ₹27 lakh requirement. The ₹8 lakh is defined as cash generated after the plan's underlying operating costs, excluding the uses listed above. State that boundary so no cost or cash receipt is counted twice.

The aggregate table is only the opening view. Plot the same amounts by payment date. A supplier payment in the first week cannot be funded by a forecast surplus arriving in the last month. The peak weekly funding gap may be different from the final six-month deficit.

Include financing fees and transaction expenses once they are known. Show the effect of delayed collections and slower inventory sales separately. Do not use a contingency line to conceal missing core inputs.

Put contribution behind the revenue slide

A funding deck should distinguish gross order value from retained sales. Cancelled orders, refunds and tax collected on behalf of the government should not quietly inflate the economic base used for growth planning.

Show a bridge from retained sales to contribution before ads, then after ads, followed by fixed costs. Use consistent classifications for every month. Our contribution margin memo explains the cost map in detail.

In the order example from that memo, ₹1,500 net sales and ₹700 contribution before ads leave ₹300 after a ₹400 acquisition allocation. Test the next channel at its own acquisition cost before adding it to the growth plan.

Show return and delivery assumptions beside the acquisition assumptions. A sales campaign can create orders quickly while refunds and failed deliveries arrive later. Distinguish mature cohorts from recent provisional data so the deck does not compare them as if they were equally complete.

Organise an evidence folder before outreach

Prepare documents that let a reviewer trace the claims. Keep customer personal data out of general pitch materials. Provide aggregated or redacted exports until there is a defined need and an appropriate sharing arrangement.

  1. Revenue bridge: monthly order totals, discounts, cancellations, refunds and retained sales on a stated tax basis.
  2. Cost support: SKU cost sheets, logistics bills, payment statements and marketing spend reconciliations.
  3. Cash and commitments: bank reconciliation, stock purchase commitments, payables and any existing debt obligations.
  4. Company records: incorporation and ownership information, material contracts and other documents requested by professional advisers.
  5. Forecast workings: the input assumptions behind the milestone plan and the downside case.

Use a document index that says which period each file covers and who owns it. If two sheets show different revenue, explain the reconciliation before sending them. Changing a figure in the deck without updating its supporting workbook makes the case harder to assess.

Keep actuals in their own columns. A customer cohort's forecast repeat revenue should not appear under observed sales. Version the forecast when assumptions change, and preserve the reason for a material revision.

Research investor fit before building a contact list

Start with stage, category and intended cheque size. Read the investor's current public materials. Look at investments they describe themselves and check whether the mandate fits the business you are building. Use the public portfolio to identify relevant category experience. The angel investors in India memo links to official networks and platforms and explains how an angel round moves from application to funding.

Prepare a short account of the fit. It should connect the brand's growth decision to the investor's stated focus. Avoid mass outreach that presents every D2C company as an identical category opportunity.

Official ecosystem organisations can also help founders prepare. Kerala Startup Mission's investment page describes investment readiness support and opportunities for founder and investor interaction. Check current access conditions and schedules directly.

Track who has the material, the version shared and the next agreed step. Keep the pipeline separate from the cash plan. Expressions of interest cannot pay a purchase order.

Keep the first pitch grounded in the operating plan

Explain the customer problem and why buyers choose the product. Then support the commercial case with retained sales, contribution and observed repeat behaviour. Use public sources for market claims and identify their dates. A broad market size does not prove demand for this particular product.

Connect the funding ask to the milestone and the decisions it enables. Name the largest assumptions and the tests that will resolve them. If the plan depends on cheaper acquisition, say what will change in the offer, creative or landing page to test that hypothesis.

For pre-seed preparation, be precise about what exists. A prototype, a waiting list and paid repeat orders are different kinds of evidence. Do not present a willingness-to-buy survey as booked sales. Budget the next proof point on its own terms.

Review an offer with the right advisers

When terms arrive, get qualified legal and financial advice on the actual documents. Ownership, control rights, repayment obligations and conditions matter alongside the headline amount. Ask advisers to model dilution and explain the rights attached to each offer.

Keep the operating fallback alive while discussions continue. Rework the milestone for the cash already available and identify which commitments can wait. The profitability and cash memo provides a method for testing the budget against payment timing.

Boring Commerce's unit economics review addresses the contribution that growth spending can carry. Bring the cost sheet and growth plan to identify which acquisition tests the business can fund.

Questions founders ask

How do I raise seed funding for a D2C brand?

Build evidence of customer demand and the contribution behind retained sales. Define the next milestone and its cash requirement. Research investors whose stage and category fit your plan; prepare reconciled records before pitching.

How do I raise a seed round rather than keep bootstrapping?

Compare the milestone you can fund internally with the one external capital could support. Equity changes ownership and control. Choose it deliberately when the expansion case and financing fit justify those terms.

How do I raise pre seed funding before launch?

Present the customer problem and the evidence you have collected so far. Mark prototypes and demand tests separately from sales. Budget the work needed to reach the next proof point and check current eligibility for any incubator programme you consider.

What should a bootstrapped brand show investors?

Show the source of historical capital and a clear bridge from orders to retained sales and contribution. Add stock commitments and cash forecasts. Explain what outside capital would change and what the company could do without it.
